These Terms & Conditions govern your use of the CoolTech Dynamic website and apply to enquiries, quotations, purchases, supply of refrigeration equipment, installation services, and refrigeration projects arranged through the CoolTech Dynamic brand.

By using this website, submitting an enquiry, requesting a quotation, placing an order, or engaging our services, you acknowledge and agree to these Terms & Conditions.


1. About CoolTech Dynamic

CoolTech Dynamic is a refrigeration brand currently being developed and operated under Okeyson & Chioma Ventures, the current operating business.

CoolTech Dynamic provides commercial and industrial refrigeration solutions, including the design and installation of cold rooms, blast freezers, cold storage systems, and the supply of refrigeration equipment, components, and related products.

CoolTech Dynamic is not represented on this website as a separately incorporated or CAC-registered legal entity.

Where a customer proceeds with a purchase, project, contract, payment, or other formal business transaction, the applicable quotation, invoice, receipt, agreement, and other business documentation may be issued or processed under Okeyson & Chioma Ventures.

References to “CoolTech Dynamic,” “we,” “us,” and “our” refer to the CoolTech Dynamic brand and, where applicable, its current operating business.


2. Use of Our Website

You may use this website to:

Information displayed on the website is provided for general business and informational purposes and does not automatically constitute a binding offer or contract.

3. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, photographs, dimensions, capacities, brands, models, and other information displayed on our website are accurate.

However:

  • Product images may differ slightly from the actual product.

  • Manufacturers may change specifications without notice.

  • Availability may change.

  • Some products may be imported, locally assembled, refurbished, used, or Tokunbo, depending on the specific product listing.

  • Actual equipment performance may depend on installation, operating conditions, ambient temperature, load, insulation, electrical supply, refrigerant, maintenance, and other system factors.

Customers should rely on the specifications stated in the final quotation or technical proposal issued for their particular project.


4. New, Used and Tokunbo Equipment

Where applicable, products may be identified as Brand New, Used, or Tokunbo.

The condition of the equipment will be communicated to the customer before purchase.

Tokunbo or used equipment may show reasonable signs of previous use, including cosmetic wear, scratches, repainting, replacement components, or other evidence of prior operation.

Where a specific warranty is offered on Tokunbo or used equipment, the warranty terms will be stated separately in the quotation, invoice, or applicable agreement.

Unless expressly stated otherwise, a used or Tokunbo product is not to be treated as equivalent to a brand-new product.


5. Quotations

All quotations are subject to confirmation and acceptance.

A quotation may include:

  • Equipment

  • Refrigeration components

  • PU panels

  • Doors

  • Electrical components

  • Refrigerant and piping materials

  • Transportation

  • Installation labour

  • Testing and commissioning

  • Other project-specific materials or services

Unless expressly stated, a quotation does not constitute a final contract.

Quotation validity periods, where applicable, will be stated on the quotation.

Prices may change where there are significant changes in exchange rates, importation costs, supplier prices, transportation costs, taxes, duties, material costs, or other factors affecting the cost of procurement.


6. Acceptance of a Quotation

A project or order becomes binding when the customer accepts the quotation and the required payment, deposit, purchase order, signed agreement, or other agreed confirmation has been received.

The exact requirements for acceptance may vary depending on the project.

No work is required to commence until the agreed commercial conditions have been satisfied.


7. Deposits and Payments

Depending on the project, we may require an upfront deposit before procurement, fabrication, transportation, or installation begins.

The payment structure will be stated in the applicable quotation or agreement.

Where a customer fails to make an agreed payment when due, we may suspend procurement, delivery, installation, or other project activities until payment is received.

Additional costs resulting from payment delays, storage, repeated transportation, supplier price changes, or project delays caused by the customer may be charged where applicable and agreed.


8. Project Specifications and Customer Responsibilities

Customers are responsible for providing accurate information relevant to their project where such information is requested.

This may include:

  • Room dimensions

  • Intended application

  • Product type

  • Expected storage capacity

  • Required operating temperature

  • Quantity of goods

  • Loading frequency

  • Available electrical supply

  • Location and accessibility

  • Site conditions

  • Intended operating hours

Where inaccurate or incomplete information provided by the customer affects the design, equipment selection, cost, or performance of the system, additional work or costs may arise.

Where necessary, we may conduct a site inspection or request additional technical information before finalizing a project.


9. Refrigeration Design and Performance

Refrigeration performance depends on several factors, including room construction, insulation quality, ambient temperature, product load, loading frequency, door openings, electrical supply, refrigerant, equipment selection, installation quality, and operating practices.

Any temperature, cooling time, freezing time, capacity, or performance figures provided in a quotation or proposal should be understood in relation to the conditions and assumptions stated for that particular project.

Unless expressly guaranteed in writing, estimated cooling or freezing times are not unconditional guarantees of performance.


10. Installation

Where installation is included, our installation service covers the work specifically described in the quotation or agreement.

Additional work that was not included in the original scope may attract additional charges.

This may include:

  • Additional piping

  • Additional electrical work

  • Civil works

  • Structural modifications

  • Drainage works

  • Generator or power-system modifications

  • Additional insulation

  • Site preparation

  • Relocation of equipment

  • Additional labour caused by unforeseen site conditions

Any significant variation should be communicated to the customer before the additional work is undertaken where reasonably possible.


11. Site Conditions

The customer is responsible for providing reasonable access to the installation site.

The site should be reasonably suitable for the agreed work, including adequate access, electrical supply, structural support, workspace, and other requirements communicated before installation.

Where unforeseen site conditions substantially increase the difficulty or cost of the work, we may discuss a variation with the customer before proceeding.


12. Delivery and Transportation

Delivery arrangements will depend on the nature and location of the equipment or project.

Unless expressly included in the quotation, transportation, loading, unloading, lifting, special access, crane services, or storage may attract additional charges.

Delivery dates are estimates unless a specific delivery date has been expressly agreed in writing.

Delays caused by suppliers, shipping, customs, transportation, weather, power issues, site access, or other circumstances outside our reasonable control may affect delivery schedules.


13. Changes to a Project

After a quotation has been accepted, changes to dimensions, specifications, equipment, quantity, design, location, materials, or scope may affect the project price and completion time.

We reserve the right to issue a revised quotation or variation for additional work or materials resulting from customer-requested changes.


14. Cancellation

Cancellation terms will depend on the stage of the project.

Where equipment or materials have already been specially procured, imported, fabricated, assembled, transported, or committed specifically for a customer, cancellation may result in costs that cannot be refunded.

Any refund, deduction, or cancellation charge will be assessed based on the circumstances and applicable agreement.


15. Warranty

Where a warranty is provided, the applicable warranty period and conditions will be stated in the quotation, invoice, warranty document, or project agreement.

A warranty generally covers defects attributable to the supplied equipment or workmanship within the stated warranty period, subject to the applicable conditions.

A warranty may not cover damage or failure resulting from:

  • Incorrect operation

  • Neglect or poor maintenance

  • Electrical faults or unstable power supply

  • Voltage fluctuations

  • Physical damage

  • Unauthorized repairs or modifications

  • Incorrect installation by third parties

  • Improper refrigerant charging

  • Refrigerant leakage caused by external damage

  • Misuse or operation outside the equipment’s intended application

  • Fire, flooding, lightning, accidents, or other external events

  • Normal wear and tear

  • Consumable or wear components where applicable

Specific warranty terms may differ between brand-new, used, and Tokunbo equipment.


16. Maintenance

Commercial and industrial refrigeration systems require appropriate maintenance.

Customers are responsible for operating equipment in accordance with applicable instructions and arranging appropriate maintenance.

Failure to properly maintain a refrigeration system may reduce performance and may affect applicable warranty coverage.


17. Payments Do Not Automatically Guarantee Ownership or Completion

Payment arrangements, deposits, or part-payments do not by themselves alter the agreed scope of work or project terms.

Ownership of equipment or materials may be subject to the payment terms stated in the applicable quotation or agreement.

Where a project is incomplete because of outstanding payment, customer-requested changes, site conditions, or other customer-related circumstances, completion may be suspended until the relevant issue is resolved.


18. Website Pricing and Availability

Prices displayed on the website may not represent the final price applicable to a specific project.

The final price may depend on:

  • Equipment specifications

  • Quantity

  • Brand

  • Product condition

  • Exchange rates

  • Importation costs

  • Transportation

  • Installation requirements

  • Site location

  • Project complexity

  • Current supplier pricing

A final quotation should therefore be obtained before making a purchasing decision.


19. Intellectual Property

Unless otherwise stated, the content of this website, including our brand materials, text, graphics, photographs, logos, product descriptions, and other original materials, belongs to or is used by CoolTech Dynamic and/or the relevant rights holder.

Product names, logos, trademarks, and brand names belonging to manufacturers remain the property of their respective owners.

22. Force Majeure

We will not be liable for delays or failure to perform obligations caused by circumstances reasonably beyond our control.

Such circumstances may include natural disasters, fire, flooding, government restrictions, strikes, transportation disruptions, importation difficulties, customs delays, supplier failures, war, civil disturbances, epidemics, or major infrastructure or power failures.

Where such circumstances occur, we will make reasonable efforts to communicate with affected customers and resume performance when reasonably possible.


23. Privacy

Information submitted through this website is handled in accordance with our Privacy Policy.
